SpaceX to Acquire Grain's Nationwide 800 MHz Portfolio Pending FCC Approval

SpaceX has agreed to acquire 100% of Grain Management's nationwide 800 MHz spectrum portfolio under a definitive agreement announced on October 8, 2026.
The sale remains subject to Federal Communications Commission approval and other customary closing conditions, according to the announcement reported by Reuters and detailed in Grain Management's disclosure carried by Yahoo Finance. Milbank advised Grain Management on the sale. The transaction covers a nationwide low-band footprint in the U.S.
The portfolio traces to T-Mobile US Inc. The 800 MHz-band licenses became available after Grain Management completed a spectrum swap with T-Mobile, as reported by Bloomberg. Grain had entered an exclusive arrangement to acquire that 800 MHz portfolio from T-Mobile under a March 20, 2025 agreement framed around a plan to support critical utility communications, according to Grain Management.
Grain subsequently ran a sale process. It requested preliminary offers by the first week of September for the 800 MHz licenses it had acquired from T-Mobile. On August 20, 2026, Bloomberg reported that SpaceX and AST were seeking to buy spectrum valued at $6 billion. That valuation attached to process-stage reporting. It was not restated as deal consideration in the October 8 definitive-agreement disclosures.
Separately, SpaceX stated in its June 11, 2026 IPO roadshow presentation that it had entered into agreements to acquire 65 MHz of spectrum in the U.S., with closing expected in November 2027, according to the roadshow document. The roadshow did not in the verified disclosure identify the counterparty for that 65 MHz. No closing date for the Grain portfolio was stated in the October 8 announcements beyond the FCC and customary-conditions qualifier.
Market reaction was immediate. Verizon shares fell nearly 7% in after-hours trading following the October 8 announcement. AT&T shares fell nearly 7% on the same basis.
The broader context here is process versus outcome, and the gap matters for modeling. The August process reporting described competitive tension with two named seekers, SpaceX and AST, and a $6 billion valuation marker. The October outcome names one acquirer, SpaceX, for 100% of the portfolio, with no confirmed price and no mention of AST. For anyone tracking basis, use the October definitive-agreement terms as authoritative and treat the $6 billion as background on how the asset was being shopped, not as consideration.
Timing also deserves attention. SpaceX carried a November 2027 expected close for a 65 MHz U.S. acquisition in a June roadshow, before Grain's September bid deadline and the October definitive agreement. Whether that line item maps to the Grain portfolio, to a separate assembly, or to a staged close will determine when the spectrum becomes usable and when cash moves. FCC review provides the binding constraint. Low-band transfers of national scope draw close scrutiny on competition and on buildout and interference conditions, and approval timelines can shift funding and integration planning even when commercial terms are locked.
The use-case shift is also material. Grain acquired the position with a stated utility-communications rationale. It is selling to an operator whose disclosed spectrum activity sits alongside a space-based architecture. Repositioning 800 MHz from utility support to a nationwide low-band mobile layer changes the regulatory narrative, the interference and coordination work, and the capex profile attached to the licenses. That repositioning helps explain the equity move. A new holder of clear nationwide low-band alters wholesale and retail capacity assumptions for incumbents, and after-hours pricing reflected that repricing quickly.
What to watch now is narrow. FCC filing terms, any disclosed consideration or financing structure, confirmation of the MHz quantity in the transferred licenses relative to the 65 MHz roadshow figure, and whether AST or another party retains any residual interest. Until those filings appear, the verified position is simple. Terms are agreed. Ownership has not transferred.
