Nscale, the British neocloud company, has secured $3.36 billion in pre-IPO financing ahead of a U.S. listing planned for later in 2026. TechCrunch

The deal is a convertible note led by Third Point. That is a loan that converts into shares at the IPO. $2.36 billion was available immediately, with a further $1 billion from existing investor Nvidia due in mid-November 2026.

It is bridge capital. Nscale can keep building without pricing shares now, and noteholders convert automatically when the IPO completes.

Nscale filed its IPO paperwork in the week before September 25, 2026. It is expected to list on the NYSE at a $35 billion valuation and raise $3 billion in the offering.

The London-based company describes itself as a full-stack AI cloud platform, supplying chips, data centers and software together. Nscale Apollo, Citadel and Hudson Bay took part alongside Third Point and Nvidia. Bloomberg

According to its IPO filing, Nscale holds over $103 billion in contracts. It is developing large data center campuses in Norway and West Virginia to serve that demand.

Nscale was spun out of Australian cryptocurrency mining company Arkon Energy two years before September 2026. Its roots are in power-intensive computing built around specialized chips, now used for AI cloud work.

The final terms revise plans reported in early September. Then Nscale was in talks to raise up to $3.5 billion, as $1.5 billion in Third Point-led notes plus about $2 billion from Nvidia. The broader context here is familiar in this segment. Order books are large, delivery depends on land, power and chips arriving in sequence, and pre-IPO convertibles let building continue while public pricing waits.

In my view, the build schedule matters more than the headline valuation. The $103 billion contract book only becomes revenue when capacity is powered and accepted, which means permits, grid connections and supply chains in two countries. If Nscale builds those campuses and converts this bridge cleanly, customers gain another at-scale source of dedicated AI capacity outside the hyperscalers.
