QNB Corp expects about 16% more earnings per share in 2026 from its planned growth-focused combination with The Victory Bancorp, Inc. Earnings per share is profit divided by shares outstanding, and accretion means that per-share number rises. The announcement was published September 30, 2025 QNB Corp announcement.

Leadership and reporting timetable

QNB Corp separately set its Bank presidency succession. Chris Cattie will become Bank President and join the Board of Directors of QNB Corp effective November 1, 2026 succession announcement. That date was disclosed May 13, 2026. The succession was communicated separately from the combination announcement.

Separately, QNB Group issued its Q1 2026 Strategic Progress Update. The update was published April 20, 2026 QNB Group update. The issuer here is QNB Group, a separate disclosure stream from QNB Corp.

What the 16% leaves out

The broader context for anyone modeling the deal is that 16% frames only one leg of the merger math. It is useful. It is not enough on its own. Like checking both price and fuel costs when buying a car, bank models normally test that lift against dilution to tangible book value and how long it takes to earn it back, Day 1 loan-loss accounting under CECL and fair-value marks on loans, new shares issued, and the timing of cost savings and revenue changes. None of those inputs were in the verified disclosure. Without them, the guide cannot be turned into value creation, capital impact, or sensitivity to rates and credit quality.

In my view, the calendar and leadership sequence need as much attention as the 16% guide. A combination announced in September 2025, a Q1 2026 update from QNB Group, and a presidency starting November 1, 2026 create overlapping evaluation periods. A leadership change during integration can affect staff retention, lending discipline, systems conversion, and balance-sheet execution. The verified facts do not link Cattie's appointment to the Victory transaction, and do not describe the mandate for the repositioning. Accretion estimates, succession risk, repositioning effects, and franchise disclosure should be tracked as separate workstreams until the issuers connect them.
